How to set up an R&D partnership

An R&D (Research, Development and Innovation) partnership is the instrument through which UFRRJ conducts joint research with companies, research institutions or other partners — under the Innovation Legal Framework (Law 13.243/2016 and Decree 9.283/2018).

When it makes sense

  • A company wants to co-develop technology with a UFRRJ researcher
  • An external research institution seeks complementary capabilities
  • A funding programme (FAPERJ, FINEP, EMBRAPII) requires co-execution

Modalities

Flow

  1. Preliminary conversation between researcher and partner
  2. Confidentiality Agreement if confidential information is to be exchanged
  3. Work plan — objectives, schedule, team, budget, deliverables
  4. Agency review — adequacy with the Legal Framework and UFRRJ Innovation Policy
  5. Legal review — Federal Attorney's Office at UFRRJ
  6. Signing by the Rector (or delegated authority)
  7. Execution and accountability

Critical clauses

  • IP ownership generated — co-ownership proportional to each party's contribution is the standard
  • Royalties — when there is resource transfer by the partner, exclusivity may be limited
  • Confidentiality — pre-publication and post-termination
  • Use rights for academic and outreach purposes by UFRRJ
